FXBLUE CREATIONS HUB TERMS AND CONDITIONS

1. About these Creations Hub Terms

1.1. These terms (the "Creations Hub Terms") govern your ("you") use of the FXBlue Creations Hub (the "Creations Hub"), a feature of the website at fxblue.com (the "Website") operated by FX Blue LLP, a limited liability partnership registered in England and Wales ("FXBlue", "we", "us" or "our").

1.2. These Creations Hub Terms apply in addition to, and should be read together with, FXBlue's Website Terms and Conditions and Privacy Policy (together, the "Website Terms"). If there is a conflict between these Creations Hub Terms and the Website Terms on a matter specifically addressed here, these Creations Hub Terms prevail.

1.3. Publishing a Tool, or taking a copy of one, under your account constitutes your acceptance of these Creations Hub Terms.

1.4. We may change these Creations Hub Terms at any time by posting an updated version on the Website. Continued use of the Creations Hub after a change takes effect is acceptance of the change. Where a change is material we will notify you by email or via your account, but you are responsible for checking this page from time to time.

2. Access to Creations Hub

2.1. Age and capacity. You must be 18 years of age or older to access and use the Creations Hub. By publishing a Tool, or otherwise contributing to the Creations Hub, you confirm that you are at least 18 years old and have the legal capacity to be bound by these Creations Hub Terms and to grant the rights in clause 5.

2.2. Account required. You do not need an account to browse the Creations Hub catalogue. Anything else, including publishing and downloading Tools, requires a registration on the Website.

2.3. Free of charge. All Tools and all Creations Hub features are provided free of charge. No part of the Creations Hub currently supports payment, sale, paid licensing or any monetary exchange between users.

2.4. Personal access. Your access to and use of the Creations Hub is personal to you. Keep your account sign-in details confidential and do not let anyone else use your account; you are responsible for everything done through it, including publishing of any Content.

2.5. Acting for an organisation. If you use the Creations Hub on behalf of a company or other organisation, you confirm that you have authority to bind it to these Creations Hub Terms, and references to "you" include that organisation.

3. Using the Creations Hub

3.1. What the Creations Hub is for. The Creations Hub is a section of the Website where signed-in FXBlue users publish Tools such as widgets and indicators they have created for the MyTrader trading platform, and obtain Tools created by other users.

3.2. Publishing a Tool. A signed-in user who has created an author profile may submit a Tool for publication, and may afterwards edit, resubmit or delete it.

3.3. Obtaining a Tool. A signed-in user may obtain a copy of a Tool's source code and run it in their own MyTrader account (FXBlue-branded or broker/prop-branded version of MyTrader or a successor platform), on the terms set out in clause 6. Tools are written by other users, not by FXBlue, unless explicitly specified. FXBlue does not write, test or audit them, and you run them at your own risk in your own environment.

3.4. Posting. A signed-in user may also post comments and ratings on published Tools and create their profiles and avatars.

4. Publishing a Tool

4.1. Submitting a Tool. To publish, you must complete an author profile and submit a Tool specifying its type and category. Once submitted, the type and category cannot be changed.

4.2. Moderation. No Tool, and no change to a published Tool's source code, description, instructions, cover art or screenshots, becomes visible to any other user until we have carried out a limited, non-exhaustive check for the purposes of our own internal policies. We may reject any submission at our discretion. This check is not a comprehensive review, audit or test of any Tool. It does not amount to editorial control over Content and is not, and must not be relied on by you or any other user as, any endorsement, certification or warranty by us as to the Tool's quality, safety, fitness for purpose, accuracy, legality or freedom from defects or malicious code (see clause 11). Responsibility for a Tool remains with the Contributor who submitted it.

4.3. Attribution. Tools and comments you publish are attributed to your FXBlue username, together with the display name, biography and avatar on your author profile, and are visible to anyone.

4.4. Your profile. You are responsible for keeping your profile accurate and for anything published under it. You must not use your profile to impersonate another person or entity, or to mislead other users as to your identity or affiliation.

4.5. Rights you grant FXBlue. By submitting a Tool, or a change to one, you grant FXBlue a non-exclusive, worldwide, royalty-free, sub-licensable and (subject to clause 5.7) perpetual licence to the extent copyright or any other intellectual property right subsists in the Tool or where no such right subsists, such other permission or consent as is necessary to enable FXBlue to:

  • (a) store and retain the Tool, including a complete copy of every version submitted;
  • (b) publish and display the Tool's title, descriptions, tags, category, cover art, screenshots, version history and change notes to the public, including making them findable by search engines;
  • (c) make the Tool's source code available to other Creations Hub users, for the purposes described in clause 6;
  • (d) reproduce, resize, re-encode and otherwise process any image you upload for display purposes, and serve it through a content delivery network;
  • (e) transmit the Tool's source code and description to a third-party provider of automated code-analysis tools, to assist FXBlue in its review;
  • (f) reproduce your author display name, avatar and biography alongside the Tool;
  • (g) make the Tool and your associated author identity available through any current or future FXBlue-branded or broker/prop-branded version of MyTrader or a successor platform, whether hosted on fxblue.com or elsewhere; and
  • (h) use the Tool's title, description, screenshots and your author display name to promote the Creations Hub or MyTrader, including in marketing material, on other websites and on social media.

4.6. Rights you grant to users. By publishing a Tool, you undertake to grant each user who obtains it the rights set out in clause 6, on the terms of that clause. You authorise FXBlue to present those terms to that user on your behalf when they obtain the Tool. The resulting licence is between you and that user and FXBlue is not a party to it. Every Tool is made available to users on the same terms, and you must not include separate or additional terms of your own in your Tool. Your Tool must be capable of being provided to users on those terms. You may include third-party code or components only where their licence permits your Tool to be used and made available as these Creations Hub Terms provide, including the rights you grant under this clause 5 and the licence to users under clause 6. It is your responsibility to check that before you publish, and to keep any notices that third-party licence requires.

4.7. Survival. Because a copy already obtained by another user cannot be recalled, the rights granted in clause 5.5 continue after you delete the Tool, or after your account is closed, to the extent necessary to permit continued use of copies already obtained before deletion or closure.

4.8. FXBlue's retention rights. In addition to clause 5.7, the rights granted in clause 5.5 continue after you delete the Tool, or after your account is closed, to the extent necessary to enable FXBlue to: (a) retain the Tool, its version history and associated records for the purposes of handling complaints, disputes or intellectual property claims; (b) comply with any applicable law, regulation, court order or regulatory requirement; and (c) maintain moderation and platform-integrity records in accordance with FXBlue's retention practices.

4.9. No exclusivity. The rights granted in clause 5.5 are non-exclusive. Subject to it, you retain whatever rights of any kind subsist in your Tool. FXBlue is not obliged to continue publishing, hosting or supporting any Tool.

4.10. AI-generated Tools. Clauses 5.5 to 5.8 apply equally whether a Tool was written by hand or generated with the assistance of an AI tool, including using FXBlue's own supplied documentation and prompt, and apply to whatever rights of any kind you hold in the result.

5. Obtaining and using a Tool

5.1. Rights from the Contributor. By publishing a Tool, the Contributor undertakes to grant each user who obtains it a limited, non-exclusive and non-transferable licence to the extent copyright or any other intellectual property right subsists in the Tool, or where no such right subsists, such other permission or consent as is necessary to enable you, to install and run it in your own MyTrader account for your own trading and analysis purposes, on the terms set out in this clause 6. The resulting grant of rights is between you and the Contributor. FXBlue is not a party to it and grants you no rights in any Tool.

5.2. You must not, without the prior written consent of the Tool's Contributor:

  • (a) redistribute, sublicense, sell, rent or otherwise make the Tool or its source code available to any third party, whether modified or not;
  • (b) incorporate the Tool, or any part of its code, into another product or service, including a further submission to the Creations Hub;
  • (c) remove or obscure any attribution associated with the Tool; or
  • (d) use the Tool for any unlawful purpose, or in a way that breaches clause 8.

6. Your warranties and indemnity

6.1. By submitting a Tool, or a change to one, you represent and warrant that:

  • (a) you hold, or are otherwise entitled to grant, all rights, licences, consents and permissions of any kind necessary to submit the Tool and to grant the rights in clause 5, including in respect of any third-party code, libraries or other material incorporated in it, however it was produced — whether written by you, generated with the assistance of an AI tool, or otherwise obtained;
  • (b) the Tool does not infringe the intellectual property, confidentiality or other rights of any third party;
  • (c) the Tool does not contain malicious code, does not attempt unauthorised access to any system or data, and does not perform any function not reasonably disclosed in its description; and
  • (d) the Tool and its description comply with clause 8 and all applicable law.

6.2. FXBlue does not independently verify any matter warranted in clause 7.1, whether through our review or otherwise, and that review is not, and should not be relied on by you or any other user as, a substitute for your own diligence before publishing or using a Tool.

6.3. You will indemnify FXBlue against all liabilities, costs, expenses, damages and losses (including reasonable legal fees) suffered or incurred by FXBlue arising out of or in connection with: (a) any breach by you of clause 7; (b) a third party claim that a Tool you submitted infringes their rights; or (c) your breach of any other provision of these Creations Hub Terms.

7. Prohibited content and conduct

7.1. You must not submit, publish or use the Creations Hub to do any of the following:

  • (a) publish malicious code, including malware, back doors, credential harvesting, unauthorised network calls or data exfiltration, deliberate obfuscation intended to conceal a Tool's true functionality;
  • (b) publish content that infringes any intellectual property, confidentiality or other right, or that is unlawful, defamatory, obscene, discriminatory, or that harasses, threatens, bullies or is abusive towards any individual or group, including other Creations Hub users and our personnel;
  • (c) publish advertising or promotional content not expressly permitted by us;
  • (d) publish or submit a Tool with descriptions, screenshots, titles or performance claims that are false, inaccurate or intentionally misleading;
  • (e) publish a screenshot or other content exposing another person's personal data, account details or credentials;
  • (f) manipulate ratings, comments or any other part of the Creations Hub, including through multiple accounts;
  • (g) use a comment, biography or profile for self-promotion, spam or unsolicited advertising;
  • (h) impersonate any person or entity;
  • (i) attempt to circumvent the moderation process described in clause 5;
  • (j) use the Creations Hub in any way that harms, or is likely to harm, the operation, security or integrity of the Creations Hub, Website or MyTrader, including interfering with or placing an unreasonable load on it, accessing it by automated means, or extracting Content from it in bulk; or
  • (k) publish or submit Content that violates any applicable law or regulation, including the Online Safety Act 2023 and any codes of practice or guidance issued under it.

7.2. We may remove any Content that breaches this clause and suspend or terminate the account responsible, in each case without notice where we reasonably consider the breach to be serious. Without limiting the foregoing, FXBlue may at any time remove Content or restrict access to the Creations Hub to the extent it reasonably considers necessary to comply with any applicable law, regulation, court order or regulatory requirement.

8. Moderation, takedown and reporting

8.1. Decisions to approve, reject or remove a Tool, comment, rating or profile content are made at FXBlue's discretion.

8.2. FXBlue may withdraw a published version, roll back a Tool, remove a comment or rating, or take a Tool down at any time, including on suspicion of a breach of these Creations Hub Terms, on receipt of a complaint under clause 9.4, or for technical, security or operational reasons. Removal does not affect a copy already obtained by a user, which remains governed by these Creations Hub Terms.

8.3. Where reasonably practicable, we will tell a Contributor of a decision materially affecting their Tool and the reason for it.

8.4. If you believe a Tool infringes your rights, or is unlawful, defective or unsafe, contact support@fxblue.com. A report should identify the Tool, the right or defect concerned, your contact details, and a good-faith statement of the basis for the report.

8.5. We will review a report and may, at our discretion, suspend a Tool's visibility while we do so. Where reasonably practicable, the Contributor will be given an opportunity to respond before a final decision. Nothing in this clause limits any other legal remedy available to you.

8.6. We may pass a report, and the contact details in it, to the Contributor concerned, and may give the person who made the report enough information to pursue the matter with that Contributor directly. We may also disclose Content or account information where we are required to do so by law or a court order.

8.7. Breach by a Contributor. Where a Contributor breaches these Creations Hub Terms, we may remove their Tools from the Creations Hub and suspend or close their access. We may do so for a single breach or for a pattern of breaches, and whether or not any individual breach is serious. Tools published by a Contributor whose access is suspended or closed may be removed from the Creations Hub at our discretion.

9. Ownership and rights in content

9.1. "FXBlue", "MyTrader" and associated logos are trademarks of FXBlue or its licensors. Nothing in these Creations Hub Terms grants you any right to use them beyond what is reasonably necessary to describe your use of the Creations Hub.

9.2. The Creations Hub publishes Content created, generated or submitted by Contributors. FXBlue does not author, test or endorse any Content, and a view expressed in Content is that of the Contributor who submitted it, not of FXBlue.

9.3. Ownership of Tools. As between you and FXBlue, all rights in a Tool, to the extent they exist, belong to you. FXBlue claims no ownership of any Tool and takes only the licences set out in clause 5, whether the Tool was written by hand or generated with the assistance of an AI tool.

10. Disclaimers and liability

10.1. The Creations Hub and every Tool are provided "as is" and "as available". To the fullest extent permitted by law, FXBlue excludes all warranties, representations and conditions, whether express or implied, including as to satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement.

10.2. You obtain and use every Tool entirely at your own risk, in your own trading environment and under your own account. FXBlue is not responsible for any loss or damage arising from your use of a Tool, including loss arising from a trading decision made using it.

10.3. You are responsible for deciding whether a Tool is suitable for you and for testing it before you rely on it, including before running it against an account on which real trades are placed. You remain responsible for your trading account, for every order placed through it and for every trading decision you take, whether or not a Tool contributed to it.

10.4. Nothing on the Creations Hub constitutes investment, trading, financial or professional advice. Trading, and use of simulated trading evaluation products, carries a risk of loss.

10.5. Nothing in these Creations Hub Terms excludes or limits FXBlue's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

10.6. Subject to clause 11.5, FXBlue's total aggregate liability to you arising out of or in connection with the Creations Hub, whether in contract, tort (including negligence), for breach of statutory duty or otherwise, is limited to £100.

10.7. Subject to clause 11.5, FXBlue is not liable for any indirect or consequential loss, or for loss of profit, revenue, trading opportunity, goodwill or data, arising out of or in connection with the Creations Hub, whether arising from your use of a Tool, reliance on a rating or comment, the statements or conduct of another user, or otherwise.

10.8. Disputes between users. If you have a dispute with another user that dispute is between you and them. You release FXBlue from any claim arising out of it. This does not affect any claim you may have against FXBlue itself.

11. Availability, suspension and termination

11.1. We do not guarantee that the Creations Hub will be available at any particular time or free from interruption, and may suspend, change or withdraw all or part of it at any time, with or without notice.

11.2. We are not liable for any unavailability of the Creations Hub, whether planned or unplanned.

11.3. We may suspend or terminate your access to the Creations Hub at our discretion, including for a breach of these Creations Hub Terms, with or without notice where we reasonably consider the breach to be serious.

11.4. We may also suspend your access, or the availability of a Tool, where we reasonably consider it necessary to protect the security, integrity or stability of the Creations Hub or its users, whether or not you are in breach of these Creations Hub Terms. We will restore access once the concern is resolved, unless we are entitled to suspend or terminate on another ground.

11.5. If your FXBlue account is closed (whether by you or by us), your author profile ceases to be available and your published Tools, including their version history, screenshots and uploaded images, are removed from the Creations Hub. Your ratings and comments remain but are no longer linked to you. We may retain records relating to your use of the Creations Hub where we need them to handle complaints or claims, to comply with a legal obligation, or in routine system backups, as described in the Privacy Policy.

12. Data protection

12.1. FXBlue processes personal data in connection with the Creations Hub as described in the Privacy Policy, which forms part of the Website Terms.

12.2. By using the Creations Hub you acknowledge and agree that FXBlue may share contact details and report information between users in connection with a complaint or report under clause 9.

13. General

13.1. These Creations Hub Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by the law of England and Wales and the courts of England and Wales have jurisdiction to settle any such dispute or claim.

13.2. Entire agreement. These Creations Hub Terms, together with the Website Terms, are the entire agreement between you and FXBlue in relation to the Creations Hub. If any provision of these Creations Hub Terms is held invalid or unenforceable, the remaining provisions continue in full force.

13.3. No waiver. A failure by FXBlue to enforce a provision of these Creations Hub Terms is not a waiver of the right to do so later.

13.4. Survival. Clauses 5.7, 6.2, 7, 10, 11 and 14, and any other provision which by its nature is intended to continue, survive the closure of your account and the end of your use of the Creations Hub.

13.5. Assignment. FXBlue may transfer or assign these Creations Hub Terms, in whole or in part, to another entity. You may not assign or transfer your rights or obligations under these Creations Hub Terms without FXBlue's prior written consent.

13.6. Third party rights. No one other than you and FXBlue has any right to enforce any provision of these Creations Hub Terms under the Contracts (Rights of Third Parties) Act 1999.

14. DEFINITIONS

14.1. "Content" means anything you submit, publish or display on the Creations Hub, including Tools, comments, ratings, and the display name, biography, avatar and links on your author profile.

14.2. "Contributor" means a signed-in user who submits or publishes a Tool, or a proposed change to one, whether or not it is published.

14.3. "Creations Hub" means the FXBlue Creations Hub, a feature of the Website.

14.4. "Creations Hub Terms" means these terms governing your use of the Creations Hub.

14.5. "FXBlue", "we", "us" or "our" means FX Blue LLP, a limited liability partnership registered in England and Wales.

14.6. "MyTrader" means FXBlue's proprietary trading platform for which Tools are written.

14.7. "Tool" means an indicator, widget, script or other tool for MyTrader published or submitted on the Creations Hub, together with its associated title, descriptions, tags, category, cover art, screenshots, installation instructions and version history.

14.8. "Website" means the website at fxblue.com operated by FXBlue.

14.9. "Website Terms" means FXBlue's Website Terms and Conditions and Privacy Policy.
